Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of Honestly ("the App," "we," "us," "our"), a Shopify application operated by Dromai. By installing or using Honestly, you ("Merchant," "you," "your") agree to be bound by these Terms.
If you do not agree to these Terms, do not install or use the App.
2. Description of Service
Honestly is a Shopify application that:
- Discovers and curates verified social media content (from TikTok, YouTube, Reddit, and Instagram) related to your products
- Displays this content as social proof on your Shopify storefront via an embedded widget
- Provides analytics on widget engagement and content performance
- Offers AI-powered insights and conversational analytics about your product content
3. Account and Access
3.1 Eligibility
You must have an active Shopify store and a valid Shopify Partner or merchant account to use Honestly.
3.2 Shopify OAuth
Honestly authenticates through Shopify's OAuth system. By installing the App, you authorize us to access your store's data within the scope of permissions granted (write_products). We will never request or access data beyond the approved scope without your explicit consent.
3.3 Account Responsibility
You are responsible for maintaining the security of your Shopify account and for all activity that occurs through your use of the App.
4. Subscription and Billing
4.1 Pricing
Honestly offers the following plan:
Pro Plan: $99/month
Billed through Shopify's Billing API every 30 days
4.2 Free Trial
New installations include a 14-day free trial. You will not be charged during the trial period. At the end of the trial, your subscription will begin automatically unless you uninstall the App.
4.3 Billing
All charges are processed through Shopify's Billing API and will appear on your Shopify invoice. We do not collect or store payment information directly.
4.4 Cancellation
You may cancel your subscription at any time by:
- Using the cancellation option in the Honestly Settings page
- Uninstalling the App from your Shopify admin
Cancellation takes effect immediately. Prorated refunds are provided for unused portions of the billing period.
4.5 Price Changes
We may change our pricing with at least 30 days' notice. Price changes will not apply to your current billing period.
5. Acceptable Use
You agree NOT to:
- Use the App for any unlawful purpose or in violation of any applicable laws
- Attempt to reverse engineer, decompile, or disassemble the App
- Use the App to collect, store, or process personal information of your customers beyond what the App provides
- Interfere with or disrupt the App's functionality or its underlying infrastructure
- Use the App to display content that is defamatory, obscene, or promotes violence or discrimination
- Resell, sublicense, or redistribute access to the App
- Use the App in any way that violates Shopify's Acceptable Use Policy
- Misrepresent social proof content displayed by the App as customer reviews created on your store
6. Intellectual Property
6.1 Our Intellectual Property
Honestly, including its code, design, branding, AI models, analytics algorithms, and documentation, is owned by Dromai. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your Shopify store during your active subscription.
6.2 Your Data
You retain ownership of your store data and any content you create within the App. By using the App, you grant us a limited license to process your data solely for the purpose of providing the service.
6.3 Social Media Content
Social media content displayed through Honestly originates from third-party platforms and remains the intellectual property of its respective creators. Honestly aggregates and displays publicly available content under applicable fair use principles. We do not claim ownership of third-party social media content.
7. AI Services and Data Usage
7.1 AI-Powered Features
Honestly uses artificial intelligence services (Anthropic Claude, OpenAI, Google Gemini) to:
- Analyze sentiment and relevance of social media content
- Generate product insights and recommendations
- Power the "Ask Honestly" conversational analytics feature
- Create content embeddings for semantic search
7.2 No AI Training on Your Data
We will never use your store data, customer data, or widget analytics to train, fine-tune, or improve any AI or machine learning model. This applies to both our own systems and all third-party AI services we use. Data sent to AI providers is processed solely to return results to you and is not retained by those providers for training purposes.
7.3 AI Output Disclaimer
AI-generated insights, recommendations, and analyses are provided for informational purposes only. They do not constitute business, legal, or financial advice. You are responsible for evaluating and acting on any AI-generated output.
8. Widget and Storefront
8.1 Theme App Extension
The Honestly widget is delivered as a Shopify Theme App Extension. It does not modify your theme files directly. You can enable or disable it at any time through the Shopify Theme Editor.
8.2 Performance
We design the widget to minimize impact on your storefront's performance. However, we cannot guarantee specific page load times, as performance depends on many factors outside our control (theme, other apps, hosting, network conditions).
8.3 Content Moderation
You have full control over which content appears on your storefront through the Honestly admin dashboard. You can pin, hide, or reorder content cards at any time. We also apply automated AI-based relevance and sentiment filtering.
9. Privacy and Data Protection
Our collection, use, and protection of data is governed by our Privacy Policy. By using the App, you acknowledge that you have read and understood our Privacy Policy.
9.1 Merchant Responsibility
As a Shopify merchant, you are the data controller for your customers' data. While Honestly does not collect personal information from your storefront visitors (all analytics are anonymous), you are responsible for:
- Maintaining an accurate privacy policy on your store that discloses the use of third-party apps
- Complying with applicable privacy laws in your jurisdiction (GDPR, CCPA/CPRA, etc.)
10. Service Availability
10.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice when possible)
- Unscheduled outages or technical issues
- Shopify platform outages or API changes
- Third-party service disruptions
10.2 Modifications
We may modify, update, or discontinue features of the App at any time. We will provide reasonable notice for material changes that affect your use of the service.
11. Limitation of Liability
11.1 Shopify Disclaimer
Shopify is not liable for any fault in the Honestly application or any resulting harm. Shopify cannot provide installation or usage assistance for the App. Dromai, not Shopify, is solely responsible for the App's performance, data handling, and merchant support.
11.2 Limitation
To the maximum extent permitted by applicable law, Honestly and Dromai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the App.
Our total aggregate liability for all claims arising out of or relating to these Terms or your use of the App shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
11.3 Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The App will meet your specific requirements
- The App will be uninterrupted, timely, secure, or error-free
- The social media content displayed will be accurate, complete, or current
- AI-generated insights will be accurate or suitable for any particular purpose
12. Indemnification
You agree to indemnify, defend, and hold harmless Dromai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any dispute between you and your customers related to content displayed through the App
13. Termination
13.1 By You
You may terminate these Terms at any time by uninstalling the App from your Shopify store.
13.2 By Us
We may suspend or terminate your access to the App if:
- You breach these Terms
- Your Shopify store is suspended or terminated
- Your subscription payment fails and is not resolved within 7 days
- Required by law or regulation
13.3 Effect of Termination
Upon termination:
- Your access to the App and admin dashboard will cease immediately
- The widget will stop displaying on your storefront
- We will delete your store data, product data, analytics, and AI conversation history within 30 days
- OAuth session tokens are deleted immediately
If you need your data exported before deletion, contact us at lets@usehonestly.com within 30 days of uninstalling.
14. Third-Party Services
Honestly relies on third-party services to operate, including Supabase (database), Render (hosting), Anthropic (AI), OpenAI (embeddings), Google Gemini (content analysis), and Apify (content discovery). While we carefully select and monitor these providers, we are not responsible for their independent actions, outages, or policy changes.
A current list of sub-processors is maintained in our Privacy Policy.
15. Non-Exclusivity
Nothing in these Terms restricts you from using competing applications or services. You are free to install, use, and evaluate any other Shopify apps alongside or instead of Honestly.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted remotely. Each party shall bear its own costs.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via the Honestly admin dashboard or email at least 30 days before the changes take effect
Your continued use of the App after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must uninstall the App before the effective date.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dromai regarding your use of Honestly. They supersede all prior agreements, representations, and understandings.
